WEBSITE TERMS OF USE ModelMatic B.V.

General
1. These are the terms of use of ModelMatic B.V., located in Utrecht and registered with the Chamber of Commerce under 95586679, with regard to the websites https://www.modelmatic.nl and https://app.modelmatic.nl/ (“Terms of Use”). ModelMatic B.V. advises everyone who uses the website or the associated services (“Users”) to read these Terms of Use.
2. By using the website or by creating the account, you indicate that you have read and agree to the Terms of Use. If you do not agree with one or more provisions of these Terms of Use, ModelMatic B.V. requests you not to use the website or create an account.
The Use of a Personal Account
1. Users can register on the website and create a personal account with which access can be obtained to the process modeling software of ModelMatic B.V.
2. To create an account, login details must be created, including at least a username or e-mail address and a password. The login details are strictly personal. It is not permitted to let third parties use the login details. If you suspect that your login details have fallen into the hands of third parties, the User is obliged to inform ModelMatic B.V. immediately via info@modelmatic.nl.
3. Users guarantee at all times that they are authorized to use the account and that they will conduct themselves in all respects as can be expected of responsible and careful (internet) users. This includes, among other things, adhering to and acting in accordance with these Terms of Use.
4. Users are fully responsible and liable for the use of the account and the correctness of the (personal) data provided by them.
5. Users guarantee that they are fully authorized to provide and make available content, which must in any case be understood to include text, computer software, scripts, images, photos, sound, music, videos, audiovisual combinations, interactive elements and other materials, which the User makes available via the website (“Content”).
6. Users can at any time submit a request to ModelMatic B.V. to have the account permanently deleted. ModelMatic B.V. will delete the account within a reasonable period after receiving the request and send a confirmation thereof to the User.
Obligations of Users
1. When using the website, we impose some restrictions in order to meet legal obligations. To register a personal account, Users must be at least 18 years old.
2. Users are not permitted to:
  1. modify, copy, damage, overload, hinder, or impede the use and functioning of the website;
  2. use the website for unlawful, fraudulent, illegal, misleading, malicious, or discriminatory activities;
  3. post unauthorized commercial Content on the website;
  4. post offensive, hateful, threatening, intimidating, or defamatory Content on the website;
  5. share personal data or confidential information of third parties without permission; and
  6. infringe on the rights of third parties, including intellectual property rights such as copyrights and trademark rights.
Intellectual Property and Right of Use of Content
1. The User remains the full owner at all times of all intellectual property rights to the Content made available by him via the website (including company data).
2. By entering or uploading Content, the User grants ModelMatic B.V. exclusively a limited, non-exclusive and worldwide right of use insofar as this is technically necessary for the execution of the agreement and the provision of the service. This includes the right to host, store (including making backups) and process the Content within the functionalities of the software. ModelMatic B.V. will not disclose, sell or use the Content for purposes other than agreed upon. This right of use ends immediately at the moment that the data is deleted by the User or the agreement is terminated.
3. Users acknowledge and guarantee that they are fully entitled to the Content made available by them via the website and that they are entitled to grant the aforementioned right of use to ModelMatic B.V.
4. Users acknowledge and guarantee that the Content made available by them via the website does not infringe on IP rights or any other rights of third parties, is in no way contrary to the law, public order and morality, or is otherwise unlawful towards ModelMatic B.V. or third parties.
5. Users agree that they will only use the website for purposes permitted under the Terms of Use, an agreement with ModelMatic B.V. and/or the applicable laws or regulations.
Violations and Possible Measures by ModelMatic B.V.
1. In the event that ModelMatic B.V. becomes aware of a possible violation of these Terms of Use and/or applicable laws or regulations, ModelMatic B.V. reserves the right, without prior notice and entirely at its own discretion, to i) temporarily or permanently block the User’s account, ii) terminate a User’s access to the website, or iii) remove the Content posted by Users.
2. In cases where a User does not adhere to the permitted use of the website, including use contrary to what is further described in these Terms of Use, ModelMatic B.V. reserves the right to recover all resulting damage incurred by ModelMatic B.V. from the User concerned.
Content of the Website
1. The content of the website has been compiled with the greatest possible care. ModelMatic B.V. strives to offer current and reliable information. Nevertheless, ModelMatic B.V. cannot guarantee that all published information is actually current, correct and complete in all cases and at all times. Therefore, no rights can be derived from the content presented on the website.
2. If you have doubts about the correctness, completeness and/or topicality of the data on the website or if you notice (possible) inaccuracies, we advise you to contact ModelMatic B.V. via info@modelmatic.nl.
3. The website may contain links to third-party websites. ModelMatic B.V. is in no way responsible for the content of third-party websites and is not liable for loss or damage that may arise from the use of those links.
Costs and Payment
1. No costs are charged for the use of the website.
2. However, ModelMatic B.V. reserves the right to introduce user costs, in which case you will be informed in writing and given the opportunity to terminate these Terms of Use before such costs are implemented. If you choose to terminate these Terms of Use, you will no longer have access to the use of the website.
3. ModelMatic B.V. reserves the right to introduce a fee for specific functions on ModelMatic B.V.'s website. Separate conditions may apply to this.
Security and Disruptions
1. ModelMatic B.V. will make every effort to properly secure the website and keep it as virus-free as possible, but cannot guarantee this.
2. ModelMatic B.V. expressly does not guarantee that the website can always be used (in a proper manner) or that the website is constantly accessible, as the website is not (completely) free of disruptions by its nature. ModelMatic B.V. does everything reasonably required to eliminate disruptions in the website as quickly as possible, insofar as these disruptions are not attributable to third parties.
3. ModelMatic B.V. is entitled at any time to immediately block access to (parts of) the website and/or limit the use of the website for Users in connection with maintenance and security.
Privacy
1. ModelMatic B.V. uses and processes your personal data in accordance with its privacy statement, which can be found via the website under https://www.modelmatic.nl/privacybeleid. ModelMatic B.V.'s cookie policy also applies to the use of the website, which can be found via the website under https://www.modelmatic.nl/privacybeleid.
Intellectual Property Rights
1. All intellectual property rights, including copyrights, neighboring rights, database rights, trademark rights, trade name rights, design rights and portrait rights, on all content and other material made available via the website, including but not limited to data, sound and visual material, databases, images, links, texts, files, software, logos and other materials, are the property of ModelMatic B.V., or have been included with the permission of the relevant right holder from whom ModelMatic B.V. has obtained a license.
2. Users retain all rights to the content generated and posted by them on the website. By posting content on the website, the User grants ModelMatic B.V. a non-exclusive, worldwide, royalty-free, and revocable license to host, display, and distribute this content insofar as this is necessary for the operation of the website and the services of ModelMatic B.V. This license ends as soon as the User removes the relevant content.
3. Without prior written permission from ModelMatic B.V. or the relevant right holder, it is expressly not permitted to disclose or reproduce, in whole or in part, the content made available via the website, the website and its content, or to use it (or have it used) in any other way for commercial purposes.
4. In the event of any infringement of the intellectual property rights of ModelMatic B.V. and/or third parties, ModelMatic B.V. reserves the right to fully recover all damage suffered by ModelMatic B.V. and/or third parties as a result from the User.
Liability
1. Nothing in these Terms of Use limits and/or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by gross negligence and liability resulting from fraud. Your rights as a consumer are honored under applicable law.
2. ModelMatic B.V. is expressly not liable for any act and/or omission of its Users, including the Content made available by them via the website. ModelMatic B.V. also gives no guarantees regarding the content of this Content.
3. ModelMatic B.V. is furthermore not liable for damage resulting from the use of electronic means of communication via the website, including—but not limited to—damage resulting from non-delivery or delay in the delivery of electronic messages.
Indemnification
1. Every User indemnifies ModelMatic B.V. or any third parties for all damage resulting from claims by third parties regarding the violation or non-compliance with these Terms of Use, or against any claims and/or damage from third parties that are otherwise related to and/or arise from any use of the website by the User concerned. The indemnification also relates to all damage and (legal) costs that ModelMatic B.V. suffers or incurs in connection with such a claim.
Other Provisions
1. These Terms of Use contain all agreements made between the parties regarding the use of the website. If one or more of the provisions in these Terms of Use prove to be (partially) invalid, the remaining provisions remain fully in force. In such a case, ModelMatic B.V. will replace the invalid part of the Terms of Use with provisions that are valid and whose legal consequences, given the content and scope of these Terms of Use, correspond as closely as possible to those of the invalid part.
2. ModelMatic B.V. reserves the right to unilaterally adjust or modify the Terms of Use. The most current Terms of Use can be found at all times via ModelMatic B.V.'s website. In the event of an intended change, ModelMatic B.V. will inform Users thereof within a reasonable period. If the Users continue to use the website after the Terms of Use have been changed, they are deemed to have accepted this change in the Terms of Use.
3. These Terms of Use are governed by Dutch law. Disputes arising between ModelMatic B.V. and the User as a result of and/or in connection with these Terms of Use and/or the use of the website will be exclusively submitted to the District Court Midden-Nederland (Central Netherlands).
